MEMORANDUM OF UNDERSTANDING

RECIPROCAL LINK EXCHANGE AGREEMENT

This Memorandum of Understanding ("MOU") is entered into on [DATE], by and between:

STARTUP LESSONS, with its principal place of business at WWW.STARTUP.TK (hereinafter referred to as "Party A")

and

[PARTNER COMPANY NAME], with its principal place of business at [PARTNER ADDRESS] (hereinafter referred to as "Party B")

(collectively referred to as the "Parties")

1. PURPOSE

The purpose of this MOU is to establish a reciprocal link exchange between the Parties as Strategic Partners, with the intention of expanding online visibility and providing mutual benefits to their respective business communities and the broader Startup Ecosystem.

2. SCOPE OF COOPERATION

2.1 Party A Obligations:

  • Feature Party B on Party A's Partner Page with:
    • Party B's company logo
    • A 50-word description of Party B's services
    • A hyperlink to Party B's website

2.2 Party B Obligations:

  • Feature Party A as a Strategic Partner on Party B's Partner Page with:
    • Party A's company logo
    • A 50-word brief about Party A's services
    • A hyperlink to Party A's website

3. TERM AND TERMINATION

3.1 This MOU shall be effective for a period of twelve (12) months from the date of signing.

3.2 This MOU may be renewed upon mutual written agreement of both Parties.

3.3 Either Party may terminate this MOU by providing written notice to the other Party at least one (1) week prior to the intended termination date.

3.4 Upon termination, each Party agrees to remove the other Party's information from their respective websites within five (5) business days.

4. LIMITATION OF LIABILITY

4.1 Neither Party shall be responsible or liable for the actions, content, products, or services of the other Party.

4.2 Each Party acknowledges that they are solely responsible for the content on their own website.

4.3 Neither Party makes any warranties or representations regarding the accuracy, legality, or non-infringement of content on their respective websites.

5. INTELLECTUAL PROPERTY

5.1 Each Party retains all rights, title, and interest in and to its trademarks, service marks, and logos.

5.2 Each Party grants to the other a limited, non-exclusive license to use its logo and company description solely for the purposes outlined in this MOU.

5.3 Neither Party shall use the other's intellectual property for any purpose outside the scope of this MOU without prior written consent.

6. CONFIDENTIALITY

6.1 Any confidential information shared between the Parties shall be kept confidential and shall not be disclosed to any third party without prior written consent from the disclosing Party.

7. MODIFICATIONS

7.1 Any modifications to this MOU must be made in writing and signed by authorized representatives of both Parties.

8. NON-BINDING NATURE

8.1 This MOU is not intended to be legally binding except for the provisions relating to confidentiality and intellectual property rights.

8.2 This MOU represents the current understanding between the Parties and does not create any agency, partnership, or joint venture relationship.

9. GOVERNING LAW

9.1 This MOU shall be governed by and construed in accordance with the laws of India.

9.2 Any disputes arising out of or in connection with this MOU shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

10. ENTIRE UNDERSTANDING

10.1 This MOU constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements.

11. ELECTRONIC SIGNATURES

11.1 The Parties agree that this MOU may be executed using electronic or digital signatures in accordance with applicable laws governing electronic signatures and records.

11.2 Electronic signatures shall have the same legal effect as handwritten signatures.

11.3 Delivery of this MOU by electronic transmission bearing the electronic signature of a Party constitutes valid and effective delivery.

11.4 Each Party represents that the individuals executing this MOU electronically are duly authorized to execute this MOU on behalf of such Party.
